These Terms & Conditions ("Terms") govern your access to and use of the TranscriptBridge service (the "Service"), provided by Visionation, Inc., a Florida S corporation ("Visionation," "we," "us," or "our"). By creating an account, clicking "I agree," or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
1. The Service
TranscriptBridge is a software platform that helps prospective students locate university registrar contact information and request academic transcripts, and helps universities and admissions teams operate a branded transcript-request portal, route inbound requests, and view related analytics.
Student data handling. The Service is engineered so that student-entered personal information (including name, date of birth, student ID, dates of attendance, signature, and recipient details) is processed entirely client-side in the student's browser. Cover sheets and request PDFs are generated locally and either downloaded by the student or attached to the student's own mail client. Visionation does not receive, store, or transmit this information. Tenant-facing notifications contain only non-identifying metadata (sending institution, delivery method, timestamp). 2. Your account
You must provide accurate information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@transcriptbridge.com of any unauthorized use.
3. Acceptable use
You agree not to, and not to permit anyone else to:
- use the Service in violation of any law or third-party right;
- send spam, harvest contact information, or send unsolicited communications to registrars or applicants;
- upload, transmit, or distribute malware, viruses, or other harmful code;
- probe, scan, or test the vulnerability of the Service, or attempt to bypass any security or rate-limiting measures;
- scrape, crawl, or otherwise extract data from the Service except through documented APIs and within posted rate limits;
- reverse engineer, decompile, or attempt to discover the source code of the Service, except to the extent applicable law expressly permits;
- resell, sublicense, or otherwise make the Service available to third parties outside the scope of your subscription;
- use the Service to infringe intellectual property rights or to misrepresent your affiliation with any institution.
4. License
Subject to these Terms and your payment of applicable fees, Visionation grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term.
5. Intellectual property
Visionation and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, branding, and underlying data structures, and all intellectual property rights therein. No rights are granted to you other than as expressly set forth in these Terms.
You retain ownership of any content you submit to the Service ("Customer Content"). You grant Visionation a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display Customer Content solely as needed to provide the Service.
6. Payment, billing, and subscription terms
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms and our Refund Policy.
Subscriptions renew automatically at the end of each billing period at the then-current rate unless canceled before renewal. You may cancel at any time via the customer portal provided by Paddle (paddle.net) or by contacting us. Cancellation takes effect at the end of the current billing period; you retain access until that date.
7. Free trial
We may offer a free trial. A valid payment method is required to start the trial. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged at the then-current rate.
8. Service availability and changes
We work to keep the Service available and reliable but do not guarantee that it will be uninterrupted, error-free, or free from security incidents. We may modify, suspend, or discontinue features at any time. We will use reasonable efforts to provide advance notice of material adverse changes.
9. Suspension and termination
We may suspend or terminate your access to the Service if: (a) you materially breach these Terms; (b) your account is past due; (c) we reasonably believe your use poses a security, legal, or fraud risk; or (d) you repeatedly or seriously violate our acceptable use rules. We will use reasonable efforts to notify you and, where appropriate, give you an opportunity to cure.
On termination, your right to access the Service ends. We will make Customer Content available for export for thirty (30) days following termination, after which it may be deleted. Sections that by their nature should survive termination will survive.
10. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the fullest extent permitted by law, Visionation disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages. Visionation's aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to Paddle for the Service in the twelve (12) months preceding the event giving rise to liability. Nothing in these Terms limits liability that cannot be excluded under applicable law (including liability for fraud, gross negligence, or death or personal injury caused by negligence).
12. Indemnification
You will defend, indemnify, and hold harmless Visionation and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third-party right.
13. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The state and federal courts located in Orange County, Florida will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.
14. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
15. Force majeure
Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet or telecommunications outages, or government action.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
